Terms of Service

1. Acceptance of Terms

By accessing or using the TradeGuard platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms constitute a legally binding agreement between you ("User") and TradeGuard.

2. Service Description

TradeGuard provides software to assist with EU CBAM (Carbon Border Adjustment Mechanism) data formatting. The platform enables Users to upload commercial invoices, extract structured trade data using AI, identify CBAM-applicable goods, and generate formatted reports for quarterly compliance filings.

3. Account Registration

To use the Service, you must create an account and provide accurate, current, and complete business information, including your EORI (Economic Operators Registration and Identification) number where applicable. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Free Tier & Subscriptions

TradeGuard offers a free tier of 3 shipment scans to allow Users to evaluate the platform. Continued use beyond the free tier requires an active paid subscription. Subscription pricing and terms are detailed on our pricing page and may be updated from time to time with reasonable notice.

5. Limitation of Liability

TradeGuard is a software tool, not a legal or customs advisory service. The User is solely responsible for the accuracy, legality, and submission of the final CBAM XML reports to the EU Registry. TradeGuard is not liable for any customs fines, delays, or penalties arising from reliance on data processed by the Service.

In no event shall TradeGuard's total liability exceed the amount paid by the User in the twelve (12) months preceding the claim. TradeGuard shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

6. Data & Privacy

TradeGuard processes invoice data solely for the purpose of providing the Service. We do not sell or share your commercial data with third parties. All uploaded documents are processed in accordance with applicable EU data protection regulations (GDPR). For more details, refer to our Privacy Policy.

7. Intellectual Property

All rights, title, and interest in and to the Service, including its software, algorithms, UI design, and documentation, are owned by TradeGuard. Users retain ownership of all data they upload or generate through the platform.

8. Termination

TradeGuard reserves the right to suspend or terminate your account at any time for violation of these Terms of Service, including but not limited to fraudulent use, abuse of the platform, or failure to pay subscription fees. Upon termination, your right to access the Service ceases immediately.

9. Changes to Terms

TradeGuard may update these Terms of Service at any time. Material changes will be communicated via email or an in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable member state jurisdiction. Any disputes arising from these Terms shall be submitted to the competent courts of that jurisdiction.
